Terms of Service

These terms govern your use of Dunwell ("the app"), operated by TwoOneFive Ventures LLC ("we", "us"). By installing or using the app, you ("the merchant", "you") agree to them.
1. What the app does
Dunwell automates accounts-receivable collections for Shopify B2B orders that use payment terms: it tracks net-terms invoices, sends reminder emails on your behalf, and, when you enable it, charges buyers' vaulted cards on their due dates through Shopify. It also provides an aging dashboard, credit-limit alerts, and an audit trail.
2. Your responsibilities
- Configuration. The app acts on the settings you choose: your dunning ladder, grace days, credit limits, and whether auto-capture is on. You are responsible for those choices and for reviewing the dry-run output before going live.
- Authority to charge. You are responsible for having valid payment-terms agreements with your buyers and the right to charge their saved cards on the due date, consistent with Shopify's terms and applicable law.
- Buyer communications. Reminder content is yours to edit and approve. You are responsible for the messages you send and for complying with collections, consumer-protection, and anti-spam laws in your jurisdiction. The app provides guardrails (such as a maximum of one reminder per invoice per day and a payment-recency check) but does not constitute legal compliance on your behalf.
3. What the app is not
- It does not provide credit scoring, creditworthiness recommendations, or report to any credit bureau.
- It is not a collections agency and does not advance funds or factor invoices.
- It does not provide legal, accounting, or financial advice.
4. Money movement
All charges are processed through Shopify and Shopify Payments using the buyer's vaulted card; Dunwell initiates a charge per your configuration but does not itself hold or move funds. The app is designed to re-verify the live balance before every charge, to attempt at most one charge per invoice per day, and never to retry hard declines automatically. A kill switch lets you halt all activity at any time.
5. Dry-run and going live
The app installs in dry-run mode and will not email any buyer or charge any card until you explicitly switch it live. Switching live is your decision and your responsibility.
6. Fees
Use of the app is subject to the subscription fee shown at sign-up or in the Shopify App Store listing, billed through Shopify. Early-access terms and pricing may change with notice.
7. Disclaimers & limitation of liability
The app is provided "as is", without warranties of any kind. We do not guarantee that any particular invoice will be collected, that emails will be delivered, or that the service will be uninterrupted or error-free. To the maximum extent permitted by law, our total liability arising from your use of the app is limited to the fees you paid for the app in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
8. Termination
You may stop using the app at any time by uninstalling it from your Shopify admin; doing so triggers deletion of your data as described in our Privacy Policy. We may suspend or terminate access for misuse or non-payment.
9. Governing law
These terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-laws rules.
10. Changes
We may update these terms as the app evolves; the "last updated" date reflects the current version. Continued use after a change constitutes acceptance.
